The Art and Science of Negotiating Technology Deals
Mark Grossman, Attorney and Author
Technology-related deals raise many complex legal and business issues
that need to be thoroughly negotiated and documented in your agreements.
From complex software licensing to outsourcing to the Internet, tech
deals have their own customs, usages, and norms. In this course,
Mark Grossman will give you an insight into the real language he’s used
in real deals. What are the norms in the industry? What
concessions should you expect? How technical must a tech contract
be? The discussion will include intellectual property, licensing,
warranties, limitations of liability, performance standards, acceptance
testing procedures and change orders, to name a few. You will find
these issues arising in all types of deals including those that involve
software, the Internet, telecommunications, and Application Service
Providers (ASPs).
In this seminar, you will learn
- Nine key provisions you need in every technology outsourcing
contract.
- How a limitation of liability clause can emasculate your
agreement.
- How intellectual property provisions in your agreements can be a
trap for the unwary.
- Eight negotiating techniques guaranteed to work every time.
- Six ways to keep your technology contracts out of court.
- How to negotiate a technology agreement that simply communicates
your deal so that the parties have nothing to fight about.”
